By creating an account or using the Countrix platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use Countrix.

We may update these terms from time to time. We will post the revised terms on this page and update the "Last updated" date. For material changes, we may notify you by email or through the platform. Your continued use of Countrix after the updated date constitutes your acceptance of the revised terms.

Countrix provides an AI-powered business accounting platform. The Services include, but are not limited to: transaction categorization and management; bank account connectivity and sync; financial reporting (profit and loss, balance sheet, cash flow); tax estimation and tax-form support; contractor and 1099 management; document and receipt upload, storage, and OCR (optical character recognition); check reconciliation; sales tax tracking and filing support; loan tracking; QuickBooks import; and related tools (collectively, the "Services").

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

You must create an account to access Countrix. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@countrix.com if you suspect unauthorized access.

You may not share your account with others or create accounts for the purpose of abuse or circumventing restrictions.

You agree to use Countrix only for lawful business accounting purposes and in compliance with all applicable laws and regulations.

You may not use the Services to: (a) upload or transmit malicious code; (b) attempt to gain unauthorized access to our systems; (c) interfere with the operation of the platform; (d) engage in fraudulent activity; or (e) violate the rights of any third party.

We reserve the right to suspend or terminate accounts that violate these acceptable use standards without prior notice.

You retain ownership of all financial and business data you submit to Countrix. By using the Services, you grant us a limited license to process your data solely for the purpose of delivering the Services to you.

You are responsible for ensuring the accuracy of data you provide and for maintaining appropriate backups. Countrix is not liable for loss of data resulting from your own actions.

Access to certain features requires a paid subscription. Subscription fees are charged in advance on a recurring basis as specified at the time of purchase.

Subscription fees are generally non-refundable. We may offer a 30-day money-back guarantee for first-time subscribers as described on our website (e.g. in our FAQ). To request a refund under that policy, contact us at hello@countrix.com with your account details. Refunds are subject to the conditions stated there (e.g. limited to one per customer). Where required by law, we will honor applicable refund rights.

We reserve the right to change our pricing with at least 30 days' notice. Your continued use of paid Services after a price change constitutes acceptance of the new pricing.

Countrix and its licensors own all intellectual property rights in the platform, including all software, designs, trademarks, and content. Nothing in these terms grants you any rights to our intellectual property except the limited right to use the Services as described herein.

You may not reproduce, distribute, modify, or create derivative works of any part of the Countrix platform without our prior written consent.

Countrix integrates with third-party services to deliver the platform. These include: (a) financial data and accounting (e.g. Plaid for bank connectivity, QuickBooks for import); (b) payment processing (e.g. Stripe for subscriptions); (c) AI and machine-learning providers used for features such as transaction categorization, document OCR, and in-app assistance; (d) cloud infrastructure and storage (e.g. for documents and receipts). Your use of these integrations is subject to the terms and privacy policies of the respective third parties. We are not responsible for the practices of third-party services.

For AI and API services, we use providers that support data encryption and zero data retention where available, so your data is not retained or used for training by those providers after processing. See our Privacy Policy for more detail.

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Services will be uninterrupted, error-free, or free from harmful components.

Countrix does not provide legal, tax, or accounting advice. Financial reports and tax estimates generated by the platform are for informational purposes only. Consult a qualified professional for tax and legal advice.

To the maximum extent permitted by law, Countrix and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

Our total liability to you for any claims arising from or related to these Terms shall not exceed the amount you paid to Countrix in the twelve months preceding the claim.

You agree to indemnify and hold harmless Countrix and its affiliates from any claims, losses, damages, or expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

You may cancel your account at any time. We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with reasonable notice.

Upon termination, your right to access the Services will immediately cease. We will handle your data in accordance with our Privacy Policy.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of competent jurisdiction in Delaware.
